Privacy

SAOS (HK) Limited (hereinafter referred to as “SAOS”) takes the privacy and confidentiality very seriously. All information you provide is considered strictly confidential and is used only with SAOS collaborators and within the scope of their work. We are committed to ensuring this information remains secured through protected database and limited access.

SAOS will never disclose or trade any information without your prior approval. As standard rule, we always request to sign a mutual Non-Disclosure Agreement (NDA). We may also periodically use emails to inform you of any special offers and/or other company news we believe would be of interest to you. If you would rather not receive this latter information, you are entitled to unsubscribe at any time.

This policy is effective from February 2nd 2012.

The content of this website can be accessed, printed and downloaded in an unaltered form with copyright acknowledged, on a temporary basis for personal study that is not for a direct or indirect commercial use and any non-commercial use. Any content printed or downloaded may not be sold, resold, licensed, transferred, copied or reproduced in whole or in part in any manner or in or on any media to any person without the prior written consent of SAOS.

Values and Ethics

1) Fair business

In SAOS, we believe that trusted and fair business leads to long term relationship and profitable cooperation. SAOS is an international company whose global mission is to help companies in beneficial business on Chinese market. We facilitate business cooperation between companies by enhancing understanding, visibility and strong processes. We provide a professional China-based team to manage your Asian operations as would be your own Chinese office. Our team is dedicated to serving our clients according to and beyond their expectations.

2) Conflict of Interest

SAOS is committed to avoiding putting us in a position of conflict in any way. We are independent service provider. We operate in a fully transparent manner and we have no secret. Among those ethic principals we don’t allow any company to be both our supplier and our customer at the same time. We do not accept bribing and we are engaged in specific policies to limit such risks from SAOS employees. Gifts from and to any party are limited by company policy to 50$ as part of the cultural business process in China.

3) Integrity

In SAOS we have rich experience in managing business remotely for import and export in China. We strive to use state of art communication methods to ensure customers and suppliers get the best visibility and generate trusted position for future common development. Integrity by providing exhausted and verified information is a key aspect to achieve a long term strong relationship with all the side benefits. We work with companies that accept our rules and we set up processes to avoid local bribing situation.

Terms and Conditions

1) New client disclaimer

SAOS does not provide samples or sourcing services free of charge. SAOS value is based on the provided services and the time spent is naturally invoiced. This allows better and equivalent services to all customers. SAOS is not a trading company. We bring no value in buying in China for selling purpose. SAOS does not provide quotation service; we ensure our client requests are genuine before starting any activity and we serve them professionally.

2) General

Unless explicitly agreed in writing by SAOS, all services provided by SAOS are governed by the following Terms and Conditions.

SAOS, in the capacity of an independent third party, supplies services by using techniques and processes that permit an impartial and objective approach for the purpose of reducing the risks to which the Clients are exposed. SAOS’s services consist of work performed by SAOS or by third parties under SAOS control, including but not limited to:

a.  Audit of factories, production or businesses

b.  Supervise design phases and pre-production (Project management and NPI)

c.  Sourcing activities to find Chinese suppliers and partners

d.  Product inspection at various steps

e . Consulting for logistic, manufacturing, supply chain performance and engineering value

f.  Other services that SAOS provides within the scope importing and exporting from China

 

3) SAOS’ Obligations

a.  SAOS reserves the right to accept or decline a request for service. SAOS cannot be compelled to accept or be held liable for declining a request for Services:

  • Requested service is not available in China;
  •  Outside of its scope of specialization;
  • Outside of its geographical service area; or
  • In areas where special permissions are needed to perform the Service.

b.  SAOS will undertake to carry out its Services in a timely manner in accordance with professional practices and in compliance with Client’s special instructions when ordering the Service and as confirmed by SAOS. When Client’s instructions are incomplete or non-existent, SAOS will use:

  • Any relevant professional standard, trade custom, usage or practice like AQL MIL-STD-105 for sampling; and
  •  Such methods as SAOS shall consider appropriate on technical, operational and/or financial grounds.

c.  SAOS shall exercise due care and skill in the selection and assignment of its personnel.

4) Client’s Obligations

a. To provide SAOS all information and samples, either directly or through suppliers or agents of the Client for the purpose of the provided services.

b. To insure that adequate instructions and notice are given to SAOS in due time to facilitate proper performance for the services.

5) Invoicing, Fees and Payment

a. Payment terms are defined according to following cases

i.  On demand service, 100% prepayment is required up to 500$ order. For orders of 500$ or more, 50% prepayment is requested and remaining amount is due no more than 30 days after invoice. Prepayment conditions can be reviewed for regular customers with good payment history.
ii. Monthly plan and solutions, the first month shall be prepaid and next month’s payment are due at the end of the working month and no more than 10 days after the start of the new month.

c.Overdue

  • Except for reasons beyond the Customer’s control where the Client has not made payment to SAOS by the due date set above in clause 5.a. the Client shall, upon request by SAOS pay interest to SAOS on any amount outstanding at the statutory interest rate in Hong Kong S.A.R. from the due date of payment until payment is actually made. Different invoices with all the relevant payment instructions will be provided by SAOS for each of these payment options.

6) Cancellation

a. Cancellations are accepted without fees until 24 hours before the start of the actual service. After that delay, SAOS reserves the right to charge fully or partially the amount of the related service according to the investment already done.

b. In the event SAOS is prevented from performing or completing the requested Services, for reasons beyond its control, the Client agrees to:

i. Reimburse any expenditure and out of pocket expenses made or incurred in relation to this Service; and

ii. Pay proportion of fees due for Services actually rendered and to release SAOS from all responsibility for partial or non-performance of the Services.

7) SAOS’ subcontractor quotations

In regard to any subcontracted services under SAOS control for which payment is made by the client or SAOS’s quotation is bounded to subcontractor cost, should the quotation given upon Order booking can vary once the service is started and checked by the subcontractor, it is agreed that:

a. If the price increase is less than 25% or US$100, SAOS will inform the Client and launch the service immediately for quicker processing.

b. If the price increase is more than 25% and US$100, SAOS will wait Client’s confirmation before proceeding.

8) Liability and Indemnification

a. SAOS is neither an insurer nor a guarantor and disclaims such capacity. Clients seeking a guarantee against loss or damage should obtain appropriate insurance.

b. SAOS’s reports are based on documents and information provided by the Client and the Supplier. SAOS cannot be held liable if it has received incomplete or erroneous information.

c. In the event of false information provided to SAOS by a third party, SAOS accepts no liability.

d. SAOS will use its best efforts and exercise professional skill in the performance of its Services. SAOS accepts liability only in case of negligence proven by the Client. Its liability shall in no circumstances exceed two times the total aggregate sum of fees paid for the specific Services for which a claim is made.

e. The Client shall guarantee and indemnify SAOS and its agents or subcontractors against all claims made by third parties for loss, damage or expense of whatsoever, relating to the performance or non-performance of any service, to the extent that the total sum of such claims exceed the limitation of liability mentioned in 8.d.

f. In the event of any claim, notice must be given to SAOS headquarters in the Hong Kong within 7 days following discovery of the facts, or 3 months from the completion of the SAOS Service.

g. SAOS paying money back to Client does not imply admission of guilt.

h. By Client accepting repay of service fees from SAOS, Client agrees to make no future claims for real or perceived damages caused by SAOS.

9) Termination of Services

SAOS shall be entitled to terminate and/or suspend Services in the event that:

a. The Client breaches its obligations under these Terms and Conditions.

b. The Client is unwilling or unable to pay for the Services within the agreed delay.

10) Governing law, settlement of disputes and language

a. All disputes of any kind arising between the parties shall be governed in accordance with the laws of Hong Kong S.A.R. and will be referred to the exclusive jurisdiction of the District Court of Hong Kong.

b. All legitimate agreements with SAOS will be documented in English. Neither Chinese, nor any other language, will be recognized as a valid language for expressing SAOS commitments to its customers.
